Forever Bury (Bury Football Club Supporters' Society Limited)
NOTICE OF ANNUAL GENERAL MEETING
All members of the Bury Football Club Supporters’ Society Limited, (Forever Bury) are hereby invited to attend the 2006 Annual General Meeting (AGM), to be held at Bury FC Social Club, Gigg Lane, Bury on Thursday 19th October 2006. The business of the meeting will commence at 7-30pm and conclude at about 8-15pm.
If any member is unable to attend, but wish to vote on the proposals, they may appoint a proxy in writing (see voting slip).
AGENDA
1. Introduction
The Chairman will outline the format of the meeting and the Secretary will read the Minutes of the last AGM.
2. Announcement of Election of Directors to the Board of Forever Bury
3. Financial Statement
A statement of accounts for financial year 01/04/05 to 31/03/06 will be presented by the Treasurer. The accounts will be available at the AGM and are already in the Forever Bury Cabin at Gigg Lane. Please let us know if you want us to send you a copy of the accounts. It is proposed that Members accept the accounts presented for financial year 01/04/05 to 31/03/06.
Proposal 1 – To Accept the Financial Statement for Financial Year 2005/2006
4. Auditors
The first four years formal accounts of Forever Bury have been audited by DTE Business Advisory Services Limited
Proposal 2 – To reappoint DTE Business Advisory Services Limited as Auditors to Forever Bury
- Removal of The Use of The Society Seal
The Forever Bury Board proposes that Rules 110, 118, 25g and 29f regarding the acquiring and use of a seal to be removed as this is no longer a requirement for an Industrial and Provident Society.
Also Rule74 will be amended to read
‘The Society Board may delegate any of its powers to committees of the Society Board’
instead of ‘The Society Board may delegate any of its powers to committees of the Society Board and in particular may appoint a sealing committee to consider documents submitted by the Executive Board for sealing and if appropriate to seal them.
Proposal 3 – To Accept the Rule Change To Remove The Acquiring and Use of The Society Seal
- The Policy for The Election of Directors to the Board of Forever Bury
In line with Supporters Direct Election Best Practice, the Forever Bury Board has agreed of the Policy for the Election of Directors to the Board of Forever Bury. Members were sent copies of the policy along with nomination forms in August 2006. Additional copies will be available at the AGM and are already available in the Forever Bury Cabin at Gigg Lane and online at here. Please let us know if you want us to send you a copy.
Proposal 4 – To approve The Policy for The Election of Directors to the Board of Forever Bury
- Selection of Nominated Directors to the Board of Bury Football Club
At last years AGM the following policy was approved
1. Any member of the Society may stand as a Society nominated director to the Board of Bury Football Club provided they:
1.1 Are a full member of the Society
1.2 Have held the office of director of the Society for a minimum of twelve months
1.3 Are a serving director of the Society
1.4 Are prepared to undertake the responsibilities and duties of a director of Bury Football Club for a minimum period of two years
2. Should more members wish to stand as Society nominated directors to the Board of Bury Football Club than positions available, then a ballot of all members of the Society will be held.
3. The term of office as Society nominated director to the Board of Bury Football Club will be two years and coincide with the requirements for resignation by rotation from the Board of Bury Football Club.
4. Society nominated directors to the Board of Bury Football Club resigning by rotation may offer themselves for re-election. If unopposed, such nominations are to be ratified by the Board of the Society.
Jeremy Clegg has proposed the following amendments (in Italics) to the current policy as he states “ Should the motion be passed the new ‘Society Board Guidance’ will potentially allow a wider selection of candidates to be nominated as a director to the board of Bury Football Club, thereby enhancing the democratic choice offered to the Society’s membership”
- Any member of the Society may be nominated to represent the Society as a director to the Board of Bury Football Club,
provided they:
- are a full member of the Society
- have held the office of director of the Society for a minimum period of twelve months
- are prepared to undertake the responsibilities and duties as a director of the Society at such time they are in office as a director of Bury Football Club
- are prepared to undertake the responsibilities and duties of a director of Bury Football Club for a minimum period of two years.
- Nominations to represent the Society as a director to the Board of Bury Football Club must be proposed by two other members
of the Society and are to be submitted to the Society Secretary following calls for nominations.
- Should more members be nominated to represent the Society as a director to the Board of Bury Football Club than positions available, a ballot will be held of all members of the Society to establish the nomination(s) to be chosen.
- The term of office of a member representing the Society as a director to the Board of Bury Football Club will be two years and coincide with the requirements for resignation by rotation from the Board of Bury Football Club.
- A member representing the Society as a director to the Board of Bury Football Club, resigning by rotation in line with the requirements of the Board of Bury Football Club, may offer themselves for re-election to represent the Society for a further
term as a director of Bury Football Club. If unopposed, such nominations are to be ratified by the Board of the Society.
The Forever Bury Board thinks that the current policy is sufficient as anyone who has served the required 12 months on the Forever Bury Board and wishes to be nominated for the Bury Football Club Board as a representative of Forever Bury, can stand for election to the Forever Bury Board, in the October immediately prior to nominations being sought for the Bury Football Club Board. A situation could arise when there is no vacancy on the Forever Bury Board to Co-opt the representative as required in the amended proposal.
